11. Governing law and venue

Any dispute arising out of or relating to these Terms or the Site that is not resolved through good-faith negotiation will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

These Terms, together with the Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Halo Privacy regarding the Site. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them freely.
